Studiocube Terms of Service
Version: 1.0
Last updated: October 21, 2026 (America/New_York)
Company: Solar Heavy Studios
Contact: [email protected]
Governing law / venue: West Virginia
These Terms of Service (“Terms”) are a legal agreement between you and Solar Heavy Studios (“Company,” “we,” “us,” or “our”) for your use of Studiocube — the website, progressive web app (PWA), mobile or desktop apps, game world, virtual goods, marketplace features, and related services (together, the “Service”).
By creating an account, checking “I agree,” or using the Service, you accept these Terms. If you do not agree, do not use the Service.
1. Acceptance (clickwrap)
1.1 How you accept. You must check an “I agree to the Terms of Service and Privacy Policy” box (or equivalent) before creating an account. Continuing to use the Service after we post updated Terms and ask you to re-accept also counts as acceptance.
1.2 Record we keep. When you accept, we store at least: your account id, the Terms version number, the date and time (with time zone), and the method of acceptance (signup checkbox, in-app re-accept, or similar). We may keep this record for the life of your account and as needed for legal disputes.
1.3 Changes. We may change these Terms. For material changes we will notify you (for example by email, in-game mail, or a notice in the Service) and require you to re-accept before you keep using the Service. If you do not agree to the new Terms, stop using the Service and close your account. Continued use after the effective date of non-material changes means you accept them.
1.4 Additional terms. Some features (sample pack sales, creator tools, rentals) may have extra rules. Those rules are part of these Terms. If they conflict, the more specific feature rules control for that feature.
2. Eligibility and age
2.1 Minimum age. You must be at least 13 years old to create an account or use the Service.
2.2 Under 18. If you are under 18 (or the age of majority where you live), a parent or legal guardian must review and accept these Terms on your behalf, and you may use the Service only with their permission and supervision.
2.3 COPPA and children’s data. We do not knowingly collect personal information from children under 13. If we learn that we have, we will delete it as required by the Children’s Online Privacy Protection Act (COPPA) and similar laws. Parents who believe a child under 13 has an account should contact us at [email protected].
2.4 Where we offer the Service. You may use the Service only where it is legal for you to do so. You represent that you are not barred from receiving services under U.S. or other applicable law (including sanctions lists).
3. Accounts and security
3.1 One account. You may have one personal account unless we say otherwise in writing. Accounts are for you; they are not a transferable asset.
3.2 Accurate info. Provide true, current registration information and keep it updated.
3.3 Credentials. You are responsible for your password, login methods, and for all activity under your account. Tell us right away if you suspect unauthorized access.
3.4 We may act. We may refuse registration, require verification (email, age, payment), limit features, reset credentials, or suspend or close accounts that look compromised, abusive, or fraudulent.
4. License to use the Service
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for entertainment and creative use as we intend it. We (and our licensors) keep all rights in the Service, branding, software, art, audio, and other Company content. You get no ownership of the Service or of any virtual item, currency, or property inside it.
5. User content
5.1 What you upload. “User Content” means anything you upload, post, create, or submit — including text, images, audio, sample packs, clips, cube designs, messages, names, and bios.
5.2 You keep ownership (where the law gives it). You retain whatever copyright or other rights you already have in your User Content, subject to the license below and any marketplace rules.
5.3 License you grant us. You grant Company a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify (for formatting, compression, display, moderation, and technical needs), distribute, publicly perform and display, and otherwise use your User Content in connection with operating, improving, promoting, and securing the Service. This license lasts for as long as your User Content is on the Service, and for a reasonable time after removal for backups and legal compliance.
5.4 Your warranty. You represent and warrant that:
- you own the User Content or have all rights, licenses, consents, and clearances needed to upload it and to grant the license above;
- your User Content does not infringe copyright, trademark, privacy, publicity, or other rights;
- your User Content is not illegal, and does not contain malware; and
- if you offer audio or sample packs for sale or download, every sample, loop, and stem is original or properly cleared for that use.
5.5 You are responsible. You — not Company — are solely responsible for your User Content and for any harm that comes from it. We do not pre-approve all User Content and are not required to monitor it, though we may.
5.6 Removal. We may remove, hide, refuse, or restrict User Content at any time for any reason, including legal risk, community standards, or these Terms, without liability to you.
6. Illegal content, safety, and moderation
6.1 Zero tolerance for illegal content. You must not upload, share, link to, store, or promote content that is illegal under U.S. law or the law where you use the Service. That includes, without limitation:
- child sexual abuse material (CSAM) and any sexual content involving minors (anyone under 18), including fictional or AI-generated depictions;
- content that facilitates child sex trafficking or online enticement of minors;
- non-consensual intimate imagery;
- content that promotes terrorism or violent extremism as defined by applicable law;
- credible threats of violence, doxxing that creates real-world danger, or content used to commit fraud, scams, or other crimes;
- illegal drugs sales, weapons trafficking, or other criminal marketplaces.
6.2 Immediate action. If we find or are notified of illegal or severely harmful content, we may immediately remove it, suspend or terminate the account, preserve records, and take other steps we believe are needed — including reporting to authorities.
6.3 CSAM reporting. If we obtain actual knowledge of apparent CSAM or other covered child sexual exploitation on the Service, we will report it to the National Center for Missing & Exploited Children (NCMEC) CyberTipline as required by 18 U.S.C. § 2258A, preserve related material for at least one (1) year as required by that statute (as amended by the REPORT Act), and cooperate with law enforcement. Staff will minimize viewing of such material and will not share it except as allowed by law (NCMEC, law enforcement, or valid legal process).
6.4 Other illegal content. For other illegal content we may remove it, ban the account, keep records, and respond to valid legal process (warrants, court orders, and lawful subpoenas). We do not waive any rights or immunities by moderating or reporting.
6.5 Reporting tools. We will provide a way for users to report abuse (for example an in-Service report button). False or abusive reports may themselves violate these Terms.
6.6 Proactive scanning. We may use automated tools — including hash-matching services such as Cloudflare’s CSAM Scanning Tool or similar — to detect known illegal imagery. A match or report does not create a duty to monitor everything on the Service.
6.7 No duty to pre-screen; Section 230. The Service hosts User Content. To the fullest extent allowed by law, Company is a provider of an interactive computer service under 47 U.S.C. § 230 (Section 230 of the Communications Decency Act). We are not the publisher or speaker of User Content provided by you or other users. We may moderate, remove, or restrict content in good faith. Section 230 does not protect us from liability for content we ourselves create, from federal criminal law, from intellectual-property claims addressed by other statutes (such as the DMCA), or from other exceptions written into the statute. Nothing in these Terms expands or waives Section 230 beyond what the law allows.
6.8 Community standards. Separate community guidelines may add examples of banned behavior. Breaking those guidelines can lead to the same enforcement as breaking these Terms.
7. Copyright complaints (DMCA)
7.1 Policy. We respect intellectual property rights and will respond to valid notices under the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512.
7.2 How to send a notice. If you believe content on the Service infringes your copyright, send a written notice to our designated agent at [email protected] that includes:
- your physical or electronic signature;
- identification of the copyrighted work;
- identification of the material claimed to be infringing and information reasonably sufficient to locate it;
- your contact information;
- a statement that you have a good-faith belief the use is not authorized; and
- a statement under penalty of perjury that the information is accurate and that you are the owner or authorized to act for the owner.
7.3 Counter-notice. If your material was removed and you believe it was a mistake or misidentification, you may send a counter-notice meeting the DMCA’s requirements to the same agent. We may restore the material unless the complainant files a court action.
7.4 Repeat infringers. We will terminate, in appropriate circumstances, accounts of users who are repeat copyright infringers. We may also terminate sooner for clear or severe infringement.
7.5 Trademark and other rights. We may also remove content that appears to infringe trademarks or other rights, using a similar notice process where practical.
8. Sample pack cubes and marketplace
(Applies when sample pack / creator-sale features are enabled.)
8.1 Creators. If you sell or offer a sample pack (or similar download) through a sample pack cube or related feature:
- you warrant that every sound is owned by you or cleared for the license you offer buyers;
- you are solely responsible for the pack’s contents, licensing, taxes, and any third-party claims;
- we may require vetting, previews, or takedowns before or after listing;
- you grant buyers only the license you clearly state at purchase (default: personal, non-transferable use as described in the listing — not a transfer of copyright unless you say so in writing).
8.2 Buyers. Buying a sample pack cube unlocks a download for your account only. The download link (real email and/or in-game mail) works only while you are logged in as the purchasing account. Packs and links:
- are locked to your account;
- may not be shared, gifted, traded, resold, or forwarded to other users;
- may not be used to bypass purchase or game the system.
Circumventing account locks, sharing credentials to share packs, or redistributing pack files in violation of the creator’s license is a material breach and may lead to ban, forfeiture of virtual items, and legal action by the rights holder.
8.3 Platform role. Company provides tools for listing and delivery. Unless we say otherwise in writing, we are not a party to the license between creator and buyer, do not guarantee pack quality or clearance, and are not liable for disputes between creators and buyers — except where the law requires otherwise. Creators may need a separate Creator/Seller Agreement.
8.4 Refunds. Digital sample packs are generally non-refundable once delivered, except where required by law (for example certain consumer refund rights) or where we decide a refund is appropriate (fraud, failed delivery, clear listing error).
9. Outbound links (including BeatStars and other stores)
The Service may link to third-party sites or stores (for example BeatStars or other sample marketplaces). Those links are for convenience only. We do not control, endorse, or affiliate with those sites unless we say so in writing. Their terms, privacy practices, and products are their responsibility. You use outbound links at your own risk. Do not use our name or marks in a way that suggests partnership without our written permission.
10. Virtual currency — Notes
10.1 What Notes are. “Notes” (and any similar in-Service points or currency) are a limited license to use certain features of the Service. They have no real-world cash value, are not bank deposits, and are not property you own.
10.2 Non-transferable. You may not sell, gift, trade, or transfer Notes outside the Service’s allowed features. We may reverse unauthorized transfers.
10.3 Changes. We may change earn rates, prices, sinks, or features that use Notes at any time.
10.4 No cash-out. Notes cannot be redeemed for money, except where we expressly offer a program and applicable law requires or permits it.
10.5 Refunds. Purchases of Notes or items bought with real money are generally final, except where required by law or by Apple, Google, or other platform rules. If a platform (App Store / Play Store) processes the payment, their refund rules may apply.
10.6 Loss on termination. If your account is closed (by you or by us for cause), unused Notes may be forfeited to the extent allowed by law.
11. Virtual property — cubes, studios, labels, rent
11.1 License, not ownership. Studio cubes, record label cubes, music studio / shared studio properties, furniture, cosmetics, add-ons, and similar items are virtual items: a limited, revocable, non-transferable (except as we allow in-game) license to use features inside the Service. You do not own real property, intellectual property in our art systems, or any enforceable property right against Company beyond this license.
11.2 Rent and earnings. Features that let an owner earn rent, Notes, or other in-Service rewards from other users’ use of a studio, label, or similar cube are gameplay mechanics. Earnings are virtual and subject to these Terms. We may change rates, caps, eligibility, anti-fraud rules, or shut down a rent feature. We may claw back earnings obtained by cheating, collusion, or Terms violations.
11.3 We can modify or remove. We may change, replace, or remove virtual items or features for balancing, legal, technical, or business reasons. We have no obligation to compensate you except where required by law.
11.4 No off-platform sales. Selling or buying Studiocube accounts or virtual items for real money outside official channels is banned and can lead to permanent bans of all involved accounts.
12. Prohibited conduct
You agree not to:
- break the law or these Terms;
- harass, threaten, stalk, or bully others;
- cheat, exploit bugs, use bots, scripts, unauthorized clients, or automation;
- reverse engineer, scrape at scale, or attack the Service (except security research you report to us in good faith under a published policy, if any);
- share accounts or sell access;
- manipulate rent, Notes, rankings, or the marketplace (including wash trading or fake reviews);
- upload malware or attempt unauthorized access;
- impersonate others or Company staff;
- interfere with other users’ enjoyment of the Service.
We may investigate and enforce as we see fit, including warnings, item removal, suspensions, permanent bans, and reporting to authorities.
13. Apps, PWA, and platform stores
When you install the PWA or an app from Apple, Google, or another store, you also agree to that store’s rules. Those stores are not parties to these Terms (except as third-party beneficiaries where their standard EULA language requires it). In-app purchases may be billed by the store; their refund and chargeback processes apply in addition to ours.
14. Termination
14.1 By you. You may stop using the Service and request account closure through the settings or by contacting [email protected].
14.2 By us. We may suspend or terminate your access at any time if you breach these Terms, create legal risk, are inactive for a long period, or if we shut down or change the Service. Where practical we will give notice, but we may act immediately for serious or illegal conduct.
14.3 Effect. On termination, your license ends. Sections that by nature should survive (including ownership, licenses already granted to the extent needed for operation/backups, disclaimers, liability limits, indemnity, arbitration, and unpaid amounts) survive.
15. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT VIRTUAL ITEMS, NOTES, RENT, OR USER CONTENT WILL MEET YOUR EXPECTATIONS OR REMAIN AVAILABLE.
Some places do not allow certain disclaimers; in those places, our disclaimers apply to the fullest extent allowed.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR VIRTUAL ITEMS, ARISING FROM YOUR USE OF THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER THEORY, EVEN IF WE WERE ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM; OR (B) USD $100.
Nothing in these Terms limits liability that cannot be limited under applicable law (for example certain liability for fraud, or death/personal injury caused by negligence in some jurisdictions).
17. Indemnification
You will defend, indemnify, and hold harmless Company and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your breach of these Terms or of your warranties (including sample pack clearance); (d) your violation of any law or third-party right; or (e) disputes between you and other users or between you and rights holders. We may take control of the defense at our expense; you will cooperate.
18. Dispute resolution — binding arbitration and class action waiver
Please read this section carefully. It affects your legal rights.
18.1 Informal resolution first. Before filing a claim, you agree to email [email protected] a short description of the dispute and to try in good faith to resolve it with us for 30 days.
18.2 Binding individual arbitration. If we cannot resolve the dispute, except for the exceptions below, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, not in court. You and Company waive the right to a jury trial to the extent allowed by law.
18.3 Class action waiver. You and Company agree to bring claims only in your or its individual capacity, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims without both parties’ consent.
18.4 Exceptions. Either party may bring an individual action in small claims court if it qualifies. Either party may seek injunctive or other equitable relief in court for infringement or misuse of intellectual property or unauthorized access to the Service. If the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) may proceed in court; arbitration still applies to the rest.
18.5 Rules and forum. Arbitration will be administered by a nationally recognized arbitration provider under its consumer arbitration rules. The seat will be Charleston, West Virginia unless you and we agree otherwise or the rules require a different location / video hearing. The Federal Arbitration Act governs interpretation and enforcement of this section where it applies.
18.6 Opt-out. You may opt out of binding arbitration (but not the class action waiver, to the extent allowed by law) by sending written notice titled “Arbitration Opt-Out” to [email protected] (mailing address coming soon) within 30 days of first accepting these Terms. Include your name, account email, and a clear statement that you opt out of arbitration. Opting out does not affect other parts of these Terms.
18.7 UK / EU / other residents. If the law of your country makes this arbitration section unenforceable as to you, then disputes will be resolved in the courts specified in Section 19, subject to any mandatory consumer venue rights you have.
19. Governing law
These Terms are governed by the laws of West Virginia, excluding conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration section where applicable. Subject to Section 18, exclusive venue for permitted court actions is the state or federal courts located in Braxton County, West Virginia, and you consent to personal jurisdiction there — unless mandatory consumer law gives you the right to sue where you live.
20. General
20.1 Severability. If any provision is found unenforceable, the rest remains in effect, and the unenforceable part will be modified to the minimum extent needed to make it enforceable.
20.2 Entire agreement. These Terms, the Privacy Policy, and any feature-specific terms we present to you are the entire agreement between you and us about the Service and replace prior agreements on the same subject.
20.3 No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
20.4 Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
20.5 Export and sanctions. You will comply with U.S. export and sanctions laws.
20.6 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
20.7 Notices. We may notify you by email, in-Service message, or posting in the Service. You may notify us at [email protected].
20.8 Apple / Google third-party beneficiaries. If you download an app from Apple or Google, that store and its subsidiaries may be third-party beneficiaries of the end-user license portions of these Terms as required by their standard terms, with the right to enforce them against you. The contract remains between you and Company, not the store.
20.9 Language. If we provide a translation, the English version controls unless local law says otherwise.
